Terms of Service

1. Acceptance of Terms

By accessing or using the Iztty compliance management platform ("Platform"), its associated website at iztty.com ("Website"), or any related services, you agree to be bound by these Terms of Service ("Terms"). If you are accessing or using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Platform or Website.

2. The Service

Iztty is a statutory compliance management platform developed and operated by Futurex Management Solutions Limited (CIN: U74999DL2014PLC269550), a company incorporated under the Companies Act, 2013 and registered in Delhi, India. The Platform provides tools for managing EPF, ESIC, Factories Act, Shop and Establishment, CLRA, vendor compliance, payroll integration, document management, and AI-assisted compliance workflows for Indian businesses.

The Platform is provided as a software-as-a-service ("SaaS") product on a subscription basis. The specific features available to you depend on the subscription plan you have purchased.

3. Account Registration and Security

To use the Platform, you must register and create an account. You agree to provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You must notify us immediately at support@iztty.com of any unauthorised use of your account or any security breach.

4. License Grant and Restrictions

4.1 License

Subject to your compliance with these Terms and payment of applicable fees, Futurex Management Solutions Limited grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business compliance management purposes.

4.2 Restrictions

You must not: (a) copy, modify, or create derivative works of the Platform; (b) reverse engineer, decompile, or disassemble any part of the Platform; (c) use the Platform to provide services to third parties on a bureau or resale basis without a written reseller agreement with Futurex; (d) use the Platform in violation of any applicable Indian law or regulation; (e) transmit viruses, malware, or harmful code through the Platform; (f) use automated tools to scrape or extract data from the Platform.

5. Data and Data Processing

You retain ownership of all compliance and payroll data that you submit to the Platform ("Your Data"). By using the Platform, you grant Futurex Management Solutions Limited a limited licence to process Your Data solely for the purpose of providing the Platform services to you.

Futurex Management Solutions Limited acts as a Data Processor with respect to your employees' personal data processed through the Platform. You, as the employer and Data Fiduciary under the DPDP Act 2023, are responsible for ensuring you have the appropriate legal basis to process your employees' personal data through the Platform. A Data Processing Agreement ("DPA") is available upon request and forms part of these Terms for enterprise customers.

Processing of personal data is governed by our Privacy Policy.

6. Subscription Plans and Payment

Access to the Platform requires a paid subscription. Subscription fees, plans, and billing cycles are as described on the Iztty pricing page at iztty.com/pricing/ and in your subscription agreement. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST, which will be charged additionally at the prevailing rate. Payment is due in advance for each subscription period. Failure to pay will result in suspension and, after a cure period, termination of access.

Refunds are subject to our refund policy as communicated at the time of purchase. We reserve the right to modify subscription pricing with 30 days' advance notice to existing subscribers.

7. Intellectual Property

The Platform, its code, design, features, documentation, logos, trademarks ("Iztty" and related marks), and all other intellectual property are owned by Futurex Management Solutions Limited and are protected under Indian intellectual property law. These Terms do not transfer any intellectual property rights to you. Any feedback, suggestions, or improvements you provide regarding the Platform may be used by us without obligation or compensation to you.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available." While we strive for maximum uptime and accuracy, Futurex Management Solutions Limited does not warrant that the Platform will be uninterrupted, error-free, or that its outputs will be legally compliant for your specific situation. The Platform is a compliance management tool — it does not constitute legal advice. You should engage qualified legal or compliance professionals for any situation requiring legal judgment.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Futurex Management Solutions Limited's total liability arising out of or in connection with these Terms or the Platform shall not exceed the amount paid by you for the Platform in the twelve months preceding the claim. In no event shall Futurex be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business — even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Futurex Management Solutions Limited and its directors, officers, employees, and agents from any claims, losses, liabilities, or expenses (including reasonable legal fees) arising out of: (a) your violation of these Terms; (b) your misuse of the Platform; (c) your violation of any third-party rights or applicable law; or (d) any inaccuracy in the data you submit to the Platform.

11. Termination

Either party may terminate the subscription by providing 30 days' written notice. Futurex may suspend or terminate your access immediately if you breach these Terms or fail to pay subscription fees. Upon termination, you may export your data within 30 days of termination notice. After this period, we may delete your data subject to legal retention obligations. Sections 5, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India. Before pursuing formal dispute resolution, both parties agree to attempt to resolve any dispute in good faith through direct negotiation.

13. Amendments

We may amend these Terms at any time by publishing revised Terms on the Website. For material changes, we will notify existing subscribers by email at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance.
